General terms
These existing terms apply to deliveries and services unless agreed otherwise in writing. By signing an agreement or using our services, you acknowledge that you have read and accept these terms. Original terms last updated: 1 November 2008.
Article 1. Definitions
Campo Internet: registered and formerly located at Maarland Noordzijde 23, 3231 CE Brielle, The Netherlands; Chamber of Commerce 24455379. Website: interconnected web pages, software, visuals, scripts and databases. Maintenance: adding client-provided content or editing text in an existing site. Client: a person or legal entity entering into an agreement with Campo Internet.
Article 2. Applicability
These terms apply to all actions and agreements and take precedence over the other party’s terms. Deviations are valid only when expressly agreed in writing.
Article 3. Offer and acceptance
Quotations are non-binding and valid for one month unless stated otherwise. Changes take effect after written approval by both parties. A combined quotation does not oblige delivery of a portion at a proportional price.
Article 4. Execution of the agreement
Campo Internet executes the agreement to the best of its ability and may engage third parties. The Client must supply the necessary information in time; delays or additional work caused by missing information may be charged. For phased work, a next phase may begin only after written approval of the previous phase.
Article 5. Duration and termination
Designing a new website is a one-time assignment with an agreed delivery schedule. Maintenance and hosting have a minimum term of one year, automatically renewed for one year, with two months’ notice for cancellation. Campo Internet may terminate immediately in case of default, bankruptcy or suspension of payment.
Article 6. Delivery and lead time
Production begins after receipt of materials; an estimated delivery date will be shared. An initial design is presented and is considered approved if no response is received within a reasonable period. Exceeding delivery times does not entitle the Client to compensation unless otherwise agreed in writing.
Article 7. Force majeure
In temporary force majeure, obligations resume as soon as reasonably possible. Work already performed will be invoiced.
Article 8. Prices
All prices include VAT and government levies. Rate changes are announced at least two months in advance; the Client may terminate as of the change date. Typographical and pricing errors excepted.
Article 9. Changes to the assignment
Additional work or complicating circumstances may result in additional costs. The Client may cancel an unexecuted part of the order if they object to the changes.
Article 10. Payment
Payment is due within 14 days of the invoice date unless agreed otherwise. Maintenance and hosting are invoiced semi-annually. Work may be suspended for late payment; statutory interest and collection costs apply. Ownership and usage rights transfer only after full payment.
Article 11. Intellectual property
Rights to analyses, designs, documentation, reports and related materials remain with Campo Internet or its licensors. The Client receives only the agreed right of use. Copyright notices and attributions may not be removed.
Article 12. Software development
Specifications are recorded in writing. Campo Internet may review incomplete or inconsistent data and suspend work until corrected. Source code and technical documentation may be supplied if expressly agreed in writing. Open-source components may be used.
Article 13. Usage rights
The Client receives a non-exclusive, non-transferable right to load and use the software within its organisation, subject to the agreed limitations. Resale, rental and sublicensing require written permission.
Article 14. Liability
Campo Internet is not liable for indirect damage, consequential loss, lost profit or business interruption, nor for shortcomings of third parties such as hosting providers or content supplied by the Client. For attributable failure, liability is limited to the invoice value of the relevant part of the assignment. Internet communication can be intercepted and is used at the Client’s own risk.
Article 15. Transfer of rights
Rights and obligations may be transferred to third parties only with the other party’s prior written consent.
Article 16. Complaints
Complaints must be submitted in writing within 14 days of delivery and clearly describe the issue. Complaints do not suspend payment obligations.
Article 17. Amendments to terms
Campo Internet may modify or supplement these terms. Changes also apply to existing agreements with 30 days’ written notice. If the Client does not accept them, the agreement may be terminated as of the effective date.
Article 18. Personnel
The Client provides reasonable on-site facilities for Campo Internet staff and will not employ them during the project or for one year afterwards without written consent.
Article 19. Miscellaneous
Personal data is not shared with third parties unless legally required; see the privacy policy. Additional hosting-provider terms apply to third-party hosting. Agreement changes must be confirmed in writing and may affect delivery times and costs. Campo Internet may show delivered work as a reference unless agreed otherwise.
Article 20. Disputes and applicable law
Dutch law applies; the competent court is Rotterdam. If a provision is invalid, the other provisions remain in force and a replacement provision will be agreed. Changes in management or legal form do not affect the agreement.
